Terms of Service

1. Introduction

Please read these Terms of Service ("Terms") carefully before using the GenReply mobile application (the "Service") operated by GenReply ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

2. Description of Service

GenReply is an AI-powered tool designed to analyze screenshots of text conversations and provide suggestions for replies. The Service utilizes artificial intelligence technology provided by OpenAI.

• Free Tier: Users receive a pool of 5 credits. Credits recharge automatically at a rate of 1 credit per hour, up to a maximum of 5 credits.
• Premium Tier: Users with an active subscription have access to unlimited generations.

3. Subscriptions

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a weekly basis.

• Payment: Payment will be charged to your Apple ID account at the confirmation of purchase.
• Renewal: Subscription automatically renews unless auto-renew is turned off at least 24-hours before the end of the current period.
• Billing: Your account will be charged for renewal within 24-hours prior to the end of the current period at the cost of the chosen package.
• Cancellation: You can manage and cancel your subscriptions by going to your account settings on the App Store after purchase.
• Refunds: We do not offer refunds for partial periods. All refund requests must be processed directly through Apple.

4. Credit System

Free users receive 5 credits maximum, with credits recharging at a rate of 1 per hour. Credits are tracked per device/account and cannot be transferred. Abuse of the credit system (such as creating multiple accounts) may result in service termination.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms.

• Own Content: You represent and warrant that you own or have the necessary rights and consents to upload the screenshots you submit to the Service.
• Privacy of Others: You agree not to upload conversations containing sensitive personal information (PII), health data, or financial data of third parties without their explicit consent. You are solely responsible for complying with all local laws regarding the recording and sharing of private communications.
• Prohibited Content: You may not use the Service to generate content that is illegal, harassing, defamatory, threatening, hateful, or otherwise objectionable.
• No Impersonation: You may not use the Service to impersonate others or mislead recipients of your messages.

6. Intellectual Property

• Your Content: You retain all rights to the screenshots you upload. We do not claim ownership of your content.
• Generated Content: The reply suggestions generated by our AI are provided for your personal use. You may use, modify, and share them as you see fit.
• App Rights: The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of GenReply and its licensors.

7. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

• AI Limitations: The suggestions provided by GenReply are generated by artificial intelligence. They may be inaccurate, inappropriate, or ineffective. You should always review and use your own judgment before sending any reply suggested by the App.
• No Professional Advice: The Service is for entertainment and informational purposes only. It does not constitute professional relationship, legal, or psychological advice.
• Relationship Outcomes: We are not responsible for the outcomes of your conversations or relationships resulting from the use of the Service. You are solely responsible for your own communications.

8. Limitation of Liability

In no event shall GenReply, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service;
• Unauthorized access, use or alteration of your transmissions or content.

8. Indemnification

You agree to defend, indemnify and hold harmless GenReply and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

9. Arbitration and Class Action Waiver

Dispute Resolution: In the event of a dispute, you agree to contact us first and attempt to resolve the issue informally. If the dispute is not resolved within 60 days, we each agree to resolve any claim, dispute, or controversy (excluding any claims for injunctive or other equitable relief) arising out of or in connection with or relating to these Terms, or the breach or alleged breach thereof (collectively, "Claims"), by binding arbitration.

Class Action Waiver: You agree that you may only bring claims against GenReply in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

10. Third-Party Services

The Service uses third-party services including OpenAI and Firebase. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. By using GenReply, you acknowledge that you have read and understand the privacy policies of these third-party providers.

11. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Oregon, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
